Terms of Service

The agreement between your company and ours. What we owe you, what you owe us, and how either side ends it.

These terms are the agreement between your company and MAMMARELLA (PTY) LTD (2021/684969/07), 6 Calders Road, Bedfordview, Johannesburg, Gauteng, 2008, South Africa, for the use of Panorithm. By ticking the box at sign-in you accept them on behalf of the company you work for.

1. What Panorithm does

Panorithm connects to mailboxes you authorise and answers questions about what is in them, showing the document behind each answer. What it reads and stores is set out in the Privacy Policy, which forms part of these terms.

2. Your account

One person holds the account for a company. That is the account holder. They invite everybody else, and they can remove them.
The account holder decides what each person can open, and can grant somebody access to every mailbox connected to the company. They are responsible both for who they invite and for what they give them.
Sign-in links are personal. Forwarding one gives that person your access.
You may only connect a mailbox you are entitled to connect. If it belongs to your employer, that is between you and your employer, and connecting it is your representation that you are allowed to.

3. What it will get wrong

Panorithm is built on a language model, and language models make mistakes. It can misread a figure, miss a document that exists, or answer confidently about the wrong invoice.

Every answer shows the document it came from precisely so that you can check it. Do not rely on an answer for a payment, a contract position, a tender submission or a tax filing without opening the source. We are not liable for a decision taken on an unchecked answer.

4. What it will not do

Panorithm cannot send email, delete anything, or alter anything in your mailbox. It can prepare a draft; a person presses send. This is enforced by the permissions Google grants us, not by a setting we could change quietly.

5. WhatsApp

Where you use WhatsApp with Panorithm, you provide the number and it stays yours. Mammrlla is a registered Meta Tech Provider and registers it on your behalf, then runs the software on it.

You confirm the number belongs to your business and that you may register it. We take that at face value.
Registering moves the number onto Meta's WhatsApp Business Platform, and it stops working as ordinary WhatsApp. Most companies give us a separate business SIM for this reason. Once it is done, undoing it is Meta's process, not ours.
Meta's own terms apply to that number in addition to these. We do not control them and cannot vary them.
Anyone can send a document to your line, including people outside your company. Whatever arrives is filed under your company, and your permissions decide who can open it.
If you upload a WhatsApp chat export, you confirm you are entitled to. Group exports contain messages from people who never agreed to anything, and that is your responsibility rather than ours.

6. Sending documents outside your company

Panorithm can send documents to somebody with no account, at a link. The controls are real but the judgement is yours.

Only the account holder approves who may receive anything, and caps what kinds of document they may be sent.
A person then checks a specific bundle and sends it. We do not send anything on our own.
A link is a link. It expires after fourteen days and can be withdrawn, but anybody holding it can open it in the meantime. Treat it as you would an email attachment.
You are responsible for who you approve and for what you send them. Once a document has left, we cannot recall what has already been downloaded.

7. Fees

Fees are agreed in writing before the account is activated.
The platform fee is payable in advance, monthly or annually. The account is activated once the first payment clears.
A diagnostic is invoiced when it is booked, before the reading begins.
Build fees for bespoke work are quoted separately and payable up front, before the work starts. They are non-refundable once work has begun.
An agent's monthly fee begins on the day that agent is live and working, not on the day it was ordered. The first invoice for it falls at the end of that first month, and monthly thereafter. You are not charged to run something that is not yet running.
Model usage is billed to us by the providers named in the subprocessor list and passed on to you in arrears at what it cost, itemised per person. Where you have connected your own key for a provider, that provider bills you directly and we show you what it cost.
Where a usage limit is agreed, use beyond it may be charged at the rate agreed or paused until the next month. We will always tell you before pausing anything.
An account unpaid for thirty days may be suspended. Suspension does not delete your data.
Fees exclude VAT unless stated otherwise.

8. Acceptable use

You agree not to use Panorithm to:

access a mailbox you have no right to access;
break any law, including the Protection of Personal Information Act;
resell access, or run it for a company other than the one on the account;
deliberately overload it, or work around a usage limit.

9. Availability

We aim to keep Panorithm running and will tell you about planned work. We do not promise uninterrupted service. It depends on Google, Anthropic, Vercel and, for WhatsApp, Meta. An outage at any of them is an outage here.

10. Your data stays yours

Your mail, your documents and everything drawn from them belong to you. We claim no rights over them, and we do not use them to build anything for anyone else. We own Panorithm itself: the software, the interface and the way it works.

11. Liability

Neither party excludes liability for fraud, death or personal injury, or anything that cannot lawfully be excluded.

Otherwise our total liability for any claim is limited to the fees you paid us in the three months before it arose. We are not liable for lost profit, lost business, lost data, or loss arising from a decision taken on an answer you did not check against its source.

12. Ending it

You may stop at any time, with one month's notice. Fees already paid are not refunded.
We may end it with one month's notice, or immediately if these terms are seriously breached.
On ending, your data is deleted within thirty days. Ask before then and we will export what we hold.

13. Changes to these terms

We will email every account holder at least fourteen days before a change takes effect. Continuing to use Panorithm after that is acceptance. If you would rather not, you may end the agreement without notice and we will refund the unused part of the month.

14. Governing law

These terms are governed by the law of South Africa, and the courts of South Africa have jurisdiction. We would rather sort out a disagreement in a phone call than in a court, and will always try that first.
